In what may be one of the biggest power moves in U.S. wireless history, AT&T has announced their plans to purchase its competitor T Mobile USA for a whopping 39 Billion dollars from its parent company Deutsche Telekom. The purchase, which has most of the tech news world buzzing, will help push AT&T into the lead position in the 4G LTE market.

This transaction is sure to be a win for AT&T, as it will now be the only major carrier in the U.S. offering GSM (sim card) technology. T Mobile users that enjoy using their European and Asian unlocked phones will now be forced over to AT&T.

While buyouts like this usually yield one sided results, Deutsche Telekom will be benefiting quite a bit from the proposed plans. Apparently the transaction will involve quite a bit of AT&T stock, making the European wireless provider a major share holder in the company. Check out the press release below for more detail.

Press Release

Deutsche Telekom: US Deal accelerates own transformation

Mar 20, 2011

Deutsche Telekom to receive 39 billion USD for US-business

Deutsche Telekom to have up to 8 percent stake in the leading US telecommunications company

AT&T takes over US mobile business from Deutsche Telekom

Deutsche Telekom will receive 25 billion USD in cash and 14 billion USD in AT&T shares

Attractive multiple of 7.1 times 2010 adjusted EBITDA

Deutsche Telekom plans to use approximately 5 billion EUR for share buybacks

Deutsche Telekom net debt is planned to be reduced by approximately 13 billion EUR or 31 percent

Deutsche Telekom will take an approximately 8 percent stake in US telecommunication company AT&T. At the same time Deutsche Telekom will hand over 100 percent ownership of T-Mobile USA to AT&T. This has been agreed by the boards of the two companies today. AT&T will pay 25 billion USD in cash for T-Mobile USA, in addition to 14 billion USD in AT&T shares. AT&T has the right to increase the portion of the purchase price paid in cash by up to 4.2 billion USD with a corresponding reduction in the stock component. The value of the transaction will be 39 billion USD. This will amount to an attractive multiple of approximately 7 times 2010 adjusted EBITDA. The merger still needs US regulatory approval. The closing of the transaction is expected to be completed in first half of 2012.

René Obermann, CEO Deutsche Telekom: “We have achieved the best solution for our company, our customers and shareholders. This will strengthen our position in Europe, whilst we are still participating in the rapidly growing business of mobile data. We will be able to focus more on the opportunities of a modern infrastructure in Germany and Europe, as well as in Internet products that accompanies to our strategy “fix, transform and innovate”. Following our initiatives of finding a solution for our activities both in the United Kingdom and Poland, we have with this transaction nearly accomplished the “fix” part of our strategy. We will now focus our resources more on the “transform” and “innovate” blocks of our strategy in order to accelerate the transformation of Deutsche Telekom.”

Timotheus Höttges, CFO Deutsche Telekom: “As the biggest single share holder of AT&T we will also significantly benefit from their strong dividend. With the excellent result of this transaction we will be able to continue to develop our company. At the same time we will be able to reduce our debts and initiate one of the biggest share buy back programs in both Germany as well as in the European telecommunication industry.”

Deutsche Telekom is planning to reduce its debt by approximately 13 billion EUR. Approximately 5 billion EUR are planned to be used for share buybacks after closing and required resolutions in accordance with the legal requirements .

Randall Stephenson, CEO and Chairman AT&T: “This transaction delivers significant customer, shareowner and public benefits that are available at this level only from the combination of these two companies with complementary network technologies, spectrum positions and operations. We are confident in our ability to execute a seamless integration, and with additional spectrum and network capabilities, we can better meet our customers’ current demands, build for the future and help achieve the President’s goals for a high-speed wirelessly connected America.”

For Deutsche Telekom the transaction after closure will provide amongst others a consolidation of the balance sheet. Pro forma the ratio for net debt to adjusted EBITDA in 2010 will be reduced to 1.9x from 2.2x, a reduction of 31 percent.

There will be no change regarding the shareholder remuneration policy which has been set for three years. As has been provided within the legal guidelines, Deutsche Telekom will continue with its plans to pay out 3.4 billion EUR on an annual basis consisting of a minimum dividend of 70 cents plus share-buybacks. The share buybacks amounting to approximately 5 billion EUR, which are planned after the closure of the transaction, will come on top of this.

The Guidance for 2011 remains unchanged. For the financial year 2011 Deutsche Telekom expects an adjusted EBITDA of around 19.1 billion EUR. The free cash flow is expected to be stable to slightly growing from the 2010 level of 6.5 billion EUR.

Deutsche Telekom is to receive one seat on AT&T’s Board of Directors.

Morgan Stanley acted as lead financial advisor and issued a fairness opinion to the supervisory board of Deutsche Telekom. Deutsche Bank and Credit Suisse acted as financial advisors for Deutsche Telekom.

Deutsche Telekom was advised by Wachtell, Lipton, Rosen & Katz (M & A, N.Y.C) as well as Cleary Gottlieb and Wiley Rein (antitrust and regulatory law, Washington D.C.).

Not Sharp…

Just when you thought there couldn’t be anything new in the already very busy, competitive and crowded smartphone marketplace, word is out that Samsung will be building the latest Sidekick 4G. Alas, the Sidekick will no longer be a Sharp product – that is, a product manufactured by Sharp Electronics. As far as I’m concerned, this can only be good for the Sidekick line. Having recently personally experienced the wonder of the Samsung Fascinate Galaxy S, I have no doubt that Samsung will infuse their innovative magic and quality into the Sidekick brand.

The Sidekick Slide Up

Introducing The Sidekick Slide

ZDNet recently leaked this as well as the fact that T-Mobile will be bringing several new 4G smartphones to the market. Besides the Sidekick 4G, we can also expect to see the Samsung Vibrant 4G. While the Sidekick seems to be very popular with the younger crowd, the Vibrant is more my cup of tea. The Sidekick will be executed using the slide up instead of the flip paradigm. But wait… there’s more! Powering these babies will be the ever popular and ubiquitous Android OS.

Off To The Show

Hungry for more? As always, the team at MRT is just as anxious as you and we’ll keep an ear to the ground for the latest news on this latest development. And don’t forget that our own Jonathan Long will be spending some quality time at Mobile World Congress in Barcelona in mid February. At that time, Samsung is expected to announce the latest on their smartphone devices. Jonathan is committed to feed us the latest news as he sees it and you can expect us to feature dynamic updates right here on MRT regarding Samsung and all the other vendors featuring their latest exciting announcements.

For now, we can say that it is safe to look for the newest Sidekick 4G incarnation as well as the Vibrant 4G to debut in the first half of 2011. I think it is safe to speculate that they will come with Android 2.3 (Gingerbread) on board. Fingers are crossed .

So how do you feel about the upcoming Sidekick and Vibrant 4G? You know that we always love to hear from you. And don’t forget, we will be announcing details on CES giveaways very soon.

For now, you may want to get a head start and follow @MyRealityTech on Twitter and “like” us on Facebook if you have not already done so. As with all our other contests, a substantial number of prizes will be awarded via these two avenues, so it always pays to follow us!

Staff Note: Jan 5, 2011. To ring in the New Year. We’ve decided to couple yet another review with a stellar giveaway. That’s right. We are giving away 3 T-mobile Dell Mini 10 4G netbooks to a few lucky fans. Read on for details!

Having never owned a netbook myself & only playing with my Daughter’s Acer Aspire One (that only has Wi-Fi) while I was setting it up with parental controls, I can easily say I was very excited to get my hands on the T-Mobile Dell Mini 10 with 4G. My laptops have always been Wi-Fi only, so the thought of checking my Twitter & FaceBook anywhere on the go was heaven. The marketing for the Mini 10 is aimed at customers looking for “a netbook with ultraportable, fully featured internet access, so they can be productive and have fun at blazing fast speeds on the go”. Sounds like me, so let’s dive in.

At the end I have added an Unboxing YouTube Video to help you see the Mini 10 a little better, but first things first.

The Dell Inspiron Mini 10 4G netbook is geared to take advantage of T-Mobile’s 4G mobile broadband network and Wi-Fi, including unlimited access to thousands of T-Mobile HotSpot Network locations Nationwide.

My house has Wi-Fi throughout, but for the sake of testing the Mini 10 I kept it on the 3G/4G setting. I am not lucky enough to be in T-Mobile’s 4G area for my house, but i did spend time driving around to ensure I could try the 4G feature. The 4G is built into the Mini 10 so not needing a USB stick or attachments that would stick out was nice. At times when I drove around, I had my Daughter entertain herself with music videos from YouTube and when parked I pulled up a few shows on Netflix.

While the music selection from a teenage girl may not have been my best choice, seeing her stay focused on the videos during the long drives because the streaming kept up quite nicely was impressive. If I found myself parked for a spell, knowing I could watch Netflix to pass the time was a tease (since I knew I would only have the Mini 10 for a short review period). The battery life was great from the integrated six cell battery when the brightness of the screen was kept low and I easily reached the 8 hour mark. The display is somewhat glossy so to keep the screen at a lower level, you may need to plan ahead as to where you want to sit and still see the screen outdoors, since the 4G will have you taking it many places.

On my lap, the Mini 10 did get a little on the hot side. Setting it on a clipboard I had handy was good enough to ensure better airflow and keep it cooler, but for the car rides and couch surfing you may want a book or something. That being said, my Daughter did not seem to mind the heat as she played with it in the car. The keyboard is 92 percent the size of a standard laptop keyboard with keys that have a nice texture and response to the fingers with a solid feel.

For a netbook I understand the need for a smaller MousePad, but one problem I was having is when trying to move the mouse down or up. The small size and super sensitivity had the mouse jumping around at times. At 3 lbs, for some reason the Mini 10 felt a little heavier than I was expecting, I am guessing it is due to the weight distribution of the battery. Later I picked up my Daughter’s Acer and while it felt the same in pounds, the Acer felt more balanced.

The built-in 1.3 MP Webcam is what you may expect to find on a netbook or notebook these days. Personally I do not like the placement on the display for the Mini 10 (which is the same gripe I have for the Acer and many similar netbooks) as they have it right in the center. I understand wanting the video to be centered when chatting, but every time I go to open the lid to the netbook, my fingers seem to find the webcam and thus I now have a fingerprint right on the lens. My recommendation is to keep a mico-fiber cloth with you at all times.

Now for the specs:

Size: 10.43 x 7.72 x 1.29 inches

Weight: 3 lbs

Included battery: 6 cell 56 WHr lithium-ion battery

Graphics: Intel® Graphics Media Accelerator 3150

Hard Drive: 160 GB 2.5-inch, 5400 RPM SATA

Display: 10.1-inch LED, 1024 x 600 Glossy WSGVA

Battery*: 6 cell 56 WHr lithium-ion battery Up to 8 hours Websurfing; 11 hours standby*

* Based on Dell Lab testing. Battery life varies by configuration, operating conditions and other factors. Maximum battery capacity decreases with time and use.

The video should give you a better idea on the size and look of the Dell Mini 10 from T-Mobile as well as some of the Pro’s and Con’s I could point out.

Pro’s: Long battery life, fast 4g speeds, ultraportable, price (because of 2 year contract), unlimited access to HotSpot locations, textured Keys and sturdy feel when typing, sturdy overall feel of netbook

Con’s: $250 but only with a 2 year contract ($450 without) , 4G only in select cities so far, super sensitive mouse pad, white color bottom may attract dirt, location of webcam when opening lid is a fingerprint magnet.

Reality Grade: While some of my gripes are more of personal dislikes, like the placement of the webcam and color of the bottom for attracting dirt, the ultraportability of the Dell Mini 10 along with the speeds while surfing the net and checking email were fantastic. I would say if you are in the market for a netbook then you should go to T-Mobile and check out the Dell Mini 10 4G. It’s a powerful, sleek netbook that works on so many levels. Good thing for you this review is also a Giveaway!

Good Luck!

Monday certainly was a big day for Microsoft and their Windows Phone product line. With the Advent of the totally revamped and rewritten Windows 7 smartphone platform, they have essentially rebooted their recent reboot of their Windows Mobile Platform in the form of their failed Kin. Microsoft and rebooting… seems to be a long running theme. At MyRealityTech we are all about fair exposure for all things tech and we are excited about what the Windows 7 smartphone platform and the accompanying devices bring to the table. As Microsoft CEO, Steve Balmer said at the opening of his New York press conference: “I’ve been looking forward to this day… for some time, you might say.” I guess we can say that we share that sentiment!

Beginning November 8, the Windows Phone 7 will be available on three AT&T networked phones which will sell for $199.99. Another phone will be offered thereafter by T-Mobile. As for applications, there will supposedly be thousands of third party applications available and during the conference, programs from eBay, Amazon’s IMDB, AT&T’s U-Verse Mobile and EA’s “The Sims 3″ were shown. Not surprisingly, the Windows Phone 7 will connect to the Xbox Live gaming service as well as the Office platform. My understanding is that this will provide support for an integrated to-do list – something that is missing on the iPhone & Android platforms.

The Samsung Focus

As for devices, there were nine Windows Phone 7 devices shown from Dell, HTC, LG and Samsung with the expected variations in interfaces and screen sizes. In this case, our opinion is that the Samsung Focus stands out for its sleek and light design and vibrant, high resolution screen. The phone features a 4″ super-AMOLED display, 110g weight, 1 GHz Qualcomm QSD8250 Processor, 8GB of internal memory and up to 32GB with a microSD card, 5MP camera with 720p HD Video and GSM, HSDPA and UMTS network support. Battery life is documented at 3 hours talk time – a bit light by many standards – and up to 10 days standby time.

All being said, the morning did leave some questions unanswered. Most notably: what of multi-tasking capability? What about support for other carriers beyond AT&T or T-Mobile or the ability to synchronize with non-Windows computers or non-Microsoft Web services? I guess time will tell. In the meantime, we can celebrate variety, innovation and lots of options in this competitive market that will surely continue to keep vendors on their toes and customers salivating at the next new shiny thing to capture their attention.

While some retail locations sold out in only minutes, T-Mobile as a company sold out in just under 4 hours. This powerful device was removed from T-Mo’s website before nights end on March 24th only to show back up a few days later. Then what?

Yup, it was taken right back down. People are dying to get their hands on this device, and I don’t blame them. I even ordered two of them myself, no clue when I’m going to receive them, but I’m waiting as patiently as I possibly can. I’m not going to lie, I check my email at least 10 times a day looking for shipping confirmation only to be disappointed.

Anyway, my point here comes in the form of a question or questions rather:

Is T-Mobile having issues deciding on exactly what the “HOT” devices are going to be?

Let’s not use the HD2 drought as an example, instead let’s use the BlackBerry Curve 8900. In March of 2009 the 83xx Curve series received a much needed upgrade on T-Mobile’s network. Although it wasn’t a 3G device like AT&T’s BlackBerry Bold 9000, it was still a highly coveted next generation BlackBerry. So highly coveted that T-Mobile released it almost a month early for their business customers, and what happened? Yup! They sold through inventory and barely had any for the customers that make up for a majority of their customer base. Thus making the hunt for the 8900 just like the hunt for the HD2.. an Easter Egg Hunt.

T-Mobile knew this would be a “HOT” device despite Windows Mobile’s reputation. Snapdragon Processor, TV application, rent movies on demand, Barnes and Noble eBook Reader, 6 months of free in-flight WIFI, 4.3 inch capacitive HD screen, whats not to want about this device? So why not have enough inventory to supply the demand? I don’t recall T-Mobile running out of their flagship MyTouch 3G.

So I’m going to check my email now to see if mine shipped, hopefully you all can get your hands on one too.

An employee of Panda Research (an anti-malware company), received a very special, brand new Vodafone HTC Magic or what we know as the T-Mobile MyTouch 3G here in the US. This device was so special it came bearing gifts, gifts in the form of malicious malware.

When she plugged it in to her computer the virus software immediately detected some suspect auto run executable files. Now, having extensive experience with Android devices I know that the computer shouldn’t even recognize anything has been plugged in until the mount option is selected on the phone, so this part spooked me a bit.

Come to find out the device was surely infected and ready to infect any computer it may have been plugged in to. The type of malware found on the Magic was a Mariposa botnet client, a type of botnet that is very dangerous because once it has been run, programs can be downloaded and executed on demand by the bot master (hacker, i.e. the person stealing all of your information).

This “virus” has the capability of growing and causing more damage, as more code could be written and commands given. Upon digging deeper, a password stealer and a conficker variant were also found on the device. The only magic this device was capable of was giving remote access to all of your personal information and making it disappear.

Don’t worry too much though! The malware was found on the micro SD card that was preinstalled in the device, NOT the device itself. It still has me wondering how something like this could have happened though, the more I think about it the more scared I get, I’m out!

By: Nate Nelson (Contributing Writer)

In a continuing nod to their pick for the future of mobile operating systems, Motorola announced their newest Android enabled phone: the QUENCH. This will be the eighth Motorola/Android device released around the globe.

QUENCH, which will be branded the CLIQ XT in the United States, will do all of the standard smartphone things like web browsing, messaging, and email. QUENCH also features a pinch and zoom ready touch-screen and navigational touch pad; the browser includes Adobe Flash Lite, which gives it an Internet advantage over Apple’s iPhone. A voice activated search feature can perform Google searches, find contacts, or launch application.

The killer app of QUENCH is the new MOTOBLUR content delivery system for Android, which syncs the user’s social network to the home screen of the device, including posts, updates, emails, messages, and photos. MOTOBLUR is compatible with Facebook, Twitter, and MySpace (if anyone still uses it), as well as Gmail and other POP3/IMAP email accounts. Contact information is automatically synched to the device when it changes, so address book information remains fresh.

QUENCH also features a media player that connects to both the Internet and social networks. The media player connects to third party websites like TuneWiki, SoundHound, and YouTube, and an MP3 store provides simple purchase and downloading to the phone. A music search feature also includes the ability to view synchronized lyrics in multiple languages, which is useful for anyone who has always wanted to learn how to sing, say, Captain and Tennille’s “Love Will Keep Us Together” in Swedish (“Kärlek Kommer att Hålla Oss Samman”).

The MOTOBLUR system also provides security to gadget owners with a “secure personal information portal” that can find lost devices or remotely erase the data, if necessary. Then, once the gadget has been located, the information can be restored with a single username and password.

QUENCH/CLIQ XT will be available in the U.S. exclusively through T-Mobile, with an official launch to be somewhat ambiguously in “Q1 2010.” As smaller mobile service providers gear up for the anticipated marriage of Apple iPhone and Verizon, they are launching more devices like this, which have all the features of the iPhone with a similar design. No pricing information was forthcoming on Motorola’s website, but the QUENCH/CLIQ XT looks to be a reasonable smartphone option for those who like Android, do not like Apple, or want to stick with a T-Mobile data plan.

The Motoroi by Motorola is an all touch device running on the Android 2.0 (Éclair) build that was also recently announced to be released in Korea as its first Android device. Sporting a 3.7 inch WVGA screen, 8 MP camera with xenon flash, HDMI-out capabilities, and recording video in HD at 720p quality, it is a force to be reckoned with.

On the morning of January 21st Motorola announced that come March, the Motoroi, formally known as the Motorola Sholes Tablet, would also be available in the good old US of A via their official twitter page. Can I prove it? Only with this link here: http://twitter.com/MotoMobile/status/8034092356. Did you get “page doesn’t exist” too? That link is what used to be the announcement from Moto, but they must’ve deleted the tweet. The post read “Looking for a phone with an 8mp camera & Xenon flash? Look no further- Motorola’s Motoroi is coming to the US in March: http://bit.ly/69fCY1”, the link in their post takes you over to an Engadget post on the Motoroi.

Could it be that the Moto’s original post was deleted because let the cat out of the bag a little too early? As rumor has it we will be seeing this on the T-Mobile network since it just passed through FCC with the AWS 3G bands.

Well, it’s a USB device that you plug into your computer that allows you to have unlimited talking anywhere in the USA and Canada. How you ask? By Voice Over IP, or in other words by using your internet connection to place your calls. You plug your house phone into the Magic Jack and the Magic Jack into your computer then you’re all set to make calls. All this with a small price of only $20 per year!

Today at CES the company that brought you the Magic Jack has announced a new and improved version of their neat handheld device. This new and improved version brings you all the old features as well as acts as a femtocell and allows for unlimited cell phone calling in your house as well. A femtocell is pretty much like having your own cellular tower in your own house hold. Walking within 8 feet of the device will automatically connect your phone and then you are free to travel throughout the whole house without using any of your cellular bucket minutes…..EVER! This version of the Magic Jack only works with phones on GSM networks such as AT&T and T-Mobile. It will only run you an additional $20, costing you $40 per year for unlimited calling from your landline and cell phone!
